1. Agreement to Terms

By accessing or using any product or service provided by Synaptix Systems ("we," "us," or "our"), you agree to be bound by these Terms & Conditions. If you do not agree to these terms, you may not access or use our services.

These terms apply to all users of our platforms, including but not limited to administrators, faculty members, reviewers, and institutional representatives.

2. Services

Synaptix Systems provides cloud-based software platforms for educational institutions, including but not limited to:

• Performance Based Appraisal System (PBAS) — faculty and staff evaluation platform
• SmartSchedule — academic timetable generation and resource optimization platform

3. Institutional Accounts

Access to our platforms is provided at the institutional level. The subscribing institution is responsible for managing user accounts, assigning roles, and ensuring appropriate use by all authorized personnel.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Acceptable Use

You agree not to:

• Attempt to gain unauthorized access to any part of the platform
• Use the service to store or transmit malicious code
• Interfere with or disrupt the integrity or performance of the service
• Reverse-engineer, decompile, or disassemble any part of the platform
• Share access credentials with unauthorized parties
• Use the platform for any purpose other than its intended institutional function

5. Intellectual Property

All intellectual property rights in our platforms, including software, design, documentation, and branding, remain the exclusive property of Synaptix Systems. Your subscription grants a limited, non-exclusive, non-transferable license to use the platform for its intended purpose.

Your institutional data remains your property. We claim no ownership over data you input into our systems.

6. Service Availability

We aim to maintain 99.5%+ uptime during active operational windows (appraisal cycles, semester scheduling periods). Scheduled maintenance will be communicated in advance. We are not liable for interruptions caused by circumstances beyond our reasonable control.

7. Payment & Subscription

Subscription terms, pricing, and payment schedules are defined in the institutional agreement executed between Synaptix Systems and the subscribing institution. These terms supplement but do not override the institutional agreement.

8. Limitation of Liability

To the maximum extent permitted by law, Synaptix Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the amount paid by your institution in the twelve months preceding the claim.

9. Termination

Either party may terminate the service agreement with 30 days written notice. Upon termination, we will provide a complete export of your institutional data in a portable format. Access to the platform will be revoked at the end of the notice period.

10. Governing Law

These terms are governed by the laws of India. Any disputes shall be resolved in the courts of Gujarat, India.
